1. Acceptance of These Terms

These Terms of Service ("Terms") govern your access to and use of the Werk mobile application ("Werk", the "app", or the "service") provided by Macbeth Labs ("we", "us", or "our"), a sole proprietorship registered in British Columbia, Canada.

By creating an account, signing in, or otherwise using Werk, you agree to be bound by these Terms and by our Privacy Policy. If you do not agree, do not use the app.

2. Eligibility

You must be at least 13 years old to use Werk, and at least the age of majority in your jurisdiction (typically 18) to enter into a binding contract. By using the app you represent that you meet these requirements.

If you are using Werk on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

3. Your Account

You sign in to Werk using Sign in with Apple. You are responsible for maintaining the security of the Apple ID you use to access Werk and for all activity that occurs under your account.

You agree to provide accurate information when setting up your account and to keep it accurate over time.

You may delete your account at any time by going to Profile → Delete Account in the app. Deletion is permanent and removes your watches, photos, documents, profile, and authentication record from our systems. We cannot recover deleted accounts.

4. The Service

Werk allows you to photograph watches, automatically identify them using artificial intelligence, and organize them into a digital collection along with ownership documents you choose to upload.

The service is provided for personal, non-commercial use by watch collectors. Werk is not a marketplace, appraisal service, authentication service, or insurance product. We do not buy, sell, broker, or appraise watches.

5. AI Identification — Accuracy and Limitations

Werk uses third-party artificial intelligence (Anthropic's Claude Vision) to identify watches from photographs. AI identifications are estimates based on visual features and are not guaranteed to be accurate.

You acknowledge that:

6. Your Content

Photographs, documents, notes, and other content you upload to Werk ("Your Content") remain yours. We do not claim ownership of Your Content.

By uploading content, you grant us a limited, worldwide, non-exclusive, royalty-free license to store, process, display, and transmit Your Content as necessary to provide the service to you. This license terminates when you delete the content or close your account.

We do not use Your Content to train artificial intelligence models, sell it to third parties, or use it for any purpose other than providing the service to you.

8. Intellectual Property

The Werk app, including its name, logo, design, code, copy, illustrations, and all related materials, is owned by Macbeth Labs and protected by copyright, trademark, and other intellectual property laws.

You may not copy, modify, distribute, sell, or lease any part of the app, except as expressly permitted by these Terms or applicable law.

Brand names (Rolex, Cartier, Longines, etc.) referenced within Werk for identification purposes are the property of their respective owners. Werk is not affiliated with, endorsed by, or sponsored by any watch brand.

9. Third-Party Services

Werk uses third-party service providers to operate, including Apple (authentication), Supabase (data storage), Anthropic (AI identification), Sentry (crash reporting), and PostHog (analytics). Each provider has its own terms and privacy practices, which apply to your use of those underlying services. Where their terms conflict with ours regarding the data they process on our behalf, our Privacy Policy and these Terms govern your relationship with us.

10. Disclaimers

Werk is provided "as is" and "as available" without warranties of any kind, express or implied. To the maximum extent permitted by law, we disclaim all warranties, including warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, reliability, and uninterrupted operation.

We do not warrant that the service will be free of bugs, errors, viruses, or interruptions, or that AI identifications will be accurate or complete.

11. Limitation of Liability

To the maximum extent permitted by law, Macbeth Labs and its principals will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages arising out of or related to your use of Werk, including but not limited to lost profits, lost data, loss of goodwill, or business interruption — even if we have been advised of the possibility of such damages.

Our total cumulative liability arising out of or related to these Terms or your use of the service will not exceed the greater of (a) the amount you have paid us in the twelve (12) months preceding the claim or (b) CAD $50.

Some jurisdictions do not allow the exclusion or limitation of certain damages. In those jurisdictions, our liability is limited to the greatest extent permitted by law.

12. Indemnification

You agree to indemnify and hold harmless Macbeth Labs from any claims, damages, losses, or expenses (including reasonable legal fees) arising out of your use of Werk, Your Content, or your violation of these Terms.

13. Termination

You may stop using Werk at any time and may delete your account through Profile → Delete Account in the app.

We may suspend or terminate your access to Werk at any time, with or without notice, if you violate these Terms, if we are required to do so by law, or if continuing to provide the service to you becomes impractical.

Sections 5 (AI Limitations), 6 (Your Content — license grant survives only as needed for legal retention), 8 (Intellectual Property), 10 (Disclaimers), 11 (Limitation of Liability), 12 (Indemnification), and 15 (Governing Law) survive termination.

14. Changes to These Terms

We may update these Terms from time to time. When we make material changes, we will update the "Last updated" date and, where appropriate, notify you through the app.

Your continued use of Werk after the updated Terms take effect constitutes your acceptance of the new Terms. If you do not agree to the updated Terms, you should stop using the app and delete your account.

15. Governing Law and Dispute Resolution

These Terms are governed by the laws of the Province of British Columbia, Canada, and the federal laws of Canada applicable therein, without regard to conflict-of-law principles.

Any dispute arising out of or relating to these Terms or your use of Werk will be brought exclusively in the courts located in British Columbia, Canada, and you consent to the personal jurisdiction of those courts.

To the extent permitted by applicable law, you waive any right to participate in a class action or class arbitration.

16. Miscellaneous

Entire agreement. These Terms, together with the Privacy Policy, constitute the entire agreement between you and Macbeth Labs regarding Werk.

Severability. If any provision of these Terms is held invalid or unenforceable, the remaining provisions remain in full force.

No waiver. Our failure to enforce any right or provision is not a waiver of that right.

Assignment. You may not assign these Terms without our written consent. We may assign these Terms in connection with a merger, acquisition, sale of assets, or by operation of law.
